Agreement

By using this website or engaging Comet Studio (operated by N53 Techworks LLP) for consulting or development services, you agree to these terms. Each client engagement is governed by a separate written agreement that defines the specific scope, deliverables, timeline, and payment terms. In the event of conflict, the individual engagement agreement takes precedence.

Services

Comet Studio provides product decision consulting and software development services. Our core offering is the Product Clarity Sprint: a two-week, fixed-price engagement designed to lock scope, validate assumptions, and produce a build-ready plan before any development begins.

Service tiers include: Product Clarity Sprint (Stage 1), Process Redesign (Stage 2), Defined-Scope Build (Stage 3), Adoption (Stage 4), and Evolution advisory (Stage 5). Each stage is a separate engagement with its own scope, price, and deliverables. Clients are not obligated to proceed beyond any completed stage.

Payment

All pricing is fixed and agreed upon before work begins. We do not bill by the hour and do not issue invoices for time spent beyond the agreed scope. Payment schedules are specified in each engagement agreement. Typically, a deposit is required before work begins, with the remaining balance tied to defined milestones or delivery.

Late payments may result in work pausing until the outstanding balance is resolved. All amounts are billed in Indian Rupees (INR) or United States Dollars (USD), as specified in the individual engagement agreement. Billing is handled through N53 Techworks LLP (Noida, India).

Intellectual Property

Upon receipt of full payment for a completed engagement, the client receives full ownership of all custom code, designs, documentation, and other work product created specifically for that engagement. IP transfer is immediate upon final payment — there is no retention period or licensing arrangement.

Comet Studio retains ownership of its general methodologies, frameworks, internal tooling, and any pre-existing intellectual property used during the engagement. Open-source components used in client builds are subject to their respective licences, which will be documented in the project handoff.

Confidentiality

Both parties agree to treat the other's non-public business information as confidential. Comet Studio will not disclose client project details, business strategy, or technical specifications without written permission. The majority of our engagements are conducted under NDA — specific terms are included in individual engagement agreements.

Comet Studio may reference the existence of a client relationship for business purposes (e.g., noting that we have served clients in a particular industry) without disclosing identifying details, unless the client has explicitly restricted this.

Fixed Scope and Scope Changes

A core principle of every Comet Studio engagement is that scope is locked before build begins. Once an engagement scope is agreed and signed, no scope changes will be incorporated during execution. Requests for changes to scope require a new written agreement with updated pricing and timeline before work on the change begins. This policy protects both parties from scope creep and budget uncertainty.

Limitation of Liability

Comet Studio's total liability for any claim arising from a specific engagement is limited to the total fees paid for that engagement. We are not liable for indirect, consequential, incidental, or punitive damages, including but not limited to lost revenue, lost profit, or business interruption, even if advised of the possibility of such damages.

No Guarantees

Comet Studio commits to quality execution within the agreed scope. We do not guarantee specific business outcomes, market performance, user adoption, or investor reaction to any product we help build or advise on. Software development and product strategy involve inherent uncertainty, and results depend on market conditions, user behaviour, and decisions outside our control.

We do guarantee: adherence to the agreed scope, delivery within the agreed timeline (barring delays caused by the client), and weekly progress visibility throughout the build phase.

Third-Party Services

Our work may rely on third-party platforms, APIs, and services (such as hosting providers, payment processors, and communication tools). We are not responsible for the availability, performance, or policies of these third-party services.

Governing Law & Disputes

These terms and all engagement agreements are governed by the laws of India, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts located in Noida, Uttar Pradesh, India. Both parties consent to the personal jurisdiction and venue of these courts.
